Factfinder's previous thread would lead the typical reader to think that there is no embedded systems problems. The following should eliminate Factfinder's fallacy once and for all. This disclosure is applicable to the Bird. Niagara. Horizontal Plate Filter designed and marketed by Baker Hughes Baker Process division. Except as noted in the following paragraphs and subject to the stated exceptions, Baker Hughes has determined that all models of the Bird. Niagara. Horizontal Plate Filter do not process date and time logic in their operation and do not contain any embedded technologies. Baker Hughes is designating all models of the Bird. Niagara. Horizontal Plate Filter as "Century Date Compliant".

Exceptions This disclosure does not apply to the (1) the Filtration Product Group, which is covered under a separate disclosure, and (2) any models of the Bird. Niagara. Horizontal Plate Filter that have customized configurations. In order to certify compliance of any special customized configurations, independent research will be necessary and may be billed on a time and material basis.

Disclosure The Bird. Niagara. Horizontal Plate Filter was internally evaluated for possible problems associated with operating in the year 2000. The evaluation took three general areas into consideration. (1) Clock chips that might malfunction at or after year 2000; (2) internal electronic logic which is hard-wired on logic boards that might incorrectly handle dates and leap years after the year 2000; and (3) software that contains embedded code which itself makes improper assumptions about month and year formats and leap year dates occurring after 1999. This statement is based entirely upon our evaluation of this product.

Additional Information A. For the purpose of this Disclosure, "Century Date Compliant" ("CDC") shall mean that neither performance nor functionality is affected by dates prior to, during and after the year 2000. In particular: No value for current date will cause any interruption in operation. Date-based functionality must behave consistently for dates prior to, during and after year 2000. In all interfaces and data storage, the century in any date must be specified either explicitly or by unambiguous algorithms or interfacing rules. Year 2000 must be recognized as a leap year. For all equipment, systems and products specifically certified by Baker Hughes as being Century Date Compliant ("CDC Products"), Baker Hughes warrants that its and its affiliates' or subsidiaries' CDC Products comply with the foregoing standards. THIS WARRANTY DOES NOT APPLY TO OTHER EQUIPMENT, SYSTEMS AND PRODUCTS PROVIDED BY BAKER HUGHES THAT HAVE NOT BEEN DESIGNATED BY BAKER HUGHES AS CDC PRODUCTS. EXCEPT AS SPECIFICALLY PROVIDED HEREIN, NO PRODUCT DISCLOSED HEREIN HAS BEEN CERTIFIED AS CDC PRODUCTS.

In the event any CDC Product fails to conform to the foregoing standards, Baker Hughes will repair or replace such CDC Product, provided that (i) Baker Hughes is notified thereof in writing by its customers within thirty (30) days from the date of shipment of the CDC Product from Baker Hughes stock point, (ii) the CDC Product has been used for the purpose for which it was designed and was used in accordance with all Baker Hughes' recommendations, and (iii) the CDC Product has not undergone repairs or alternations that were not authorized by Baker Hughes. To the extent authorized by its suppliers, Baker Hughes will assign to its customers any warranties for equipment, systems or products furnished by Baker Hughes' suppliers. The foregoing warranty shall not apply to: Any defects in computer chips or hardware utilizing computer chips that are not manufactured by Baker Hughes, in each case, resulting from the use of the chip with any date later than 1999. Failure of a CDC Product caused by a component furnished by a Baker Hughes supplier that is not Century Date Compliant. Failure of a CDC Product due to causes beyond its reasonable control (such as equipment, systems or products owned or operated by a governmental entity or other entity that are not Century Date Compliant). Additionally, CDC Products provided by Baker Hughes to its customers may be used in connection with equipment, systems and products furnished by its customers, including equipment, systems and products furnished to its customers through third parties. Baker Hughes' warranty obligations set forth above are conditional on Baker Hughes' customers notifying it of any possible obstacles (and any steps being taken to avoid or overcome the obstacles) that may impede Baker Hughes' compliance with the warranty stated in paragraph A, above. B. EXCEPT AS EXPRESSLY SET FORTH HEREIN, BAKER HUGHES MAKES NO WARRANTY, EITHER EXPRESS OR IMPLIED (INCLUDING ANY IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE OR MERCHANTABILITY) REGARDING CDC PRODUCTS FURNISHED BY BAKER HUGHES. NOTWITHSTANDING ANYTHING CONTAINED HEREIN OR IN ANY OTHER AGREEMENT BETWEEN BAKER HUGHES AND ITS CUSTOMERS, WHETHER OR NOT THE DATE OF SUCH AGREEMENTS PRECEDE OR SUPERCEDE THE DATE HEREOF, IN NO EVENT SHALL BAKER HUGHES BE LIABLE TO ITS CUSTOMERS FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PRODUCT OR PRODUCTION, LOST PROFIT OR REVENUE, LOST BUSINESS OR BUSINESS INTERRUPTIONS, OR INCREASED OPERATING COSTS AND OTHER COSTS ASSOCIATED WITH DOWNTIME CAUSED BY THE INOPERABILITY OF ANY TOOLS OR EQUIPMENT, ARISING OUT OF BAKER HUGHES' FAILURE TO COMPLY WITH THE WARRANTY SET FORTH IN PARAGRAPH A, ABOVE AND REGARDLESS OF THE CAUSE, WHETHER OR NOT BASED ON NEGLIGENCE (SOLE, JOINT, CONCURRENT OR GROSS), STRICT LIABILITY, PRODUCTS LIABILITY, BREACH OF CONTRACT, OR ANY OTHER LEGAL FAULT OR RESPONSIBILITY OF BAKER HUGHES, ITS AFFILIATES, SUBSIDIARIES, OR THEIR RESPECTIVE EMPLOYEES OR AGENTS.
